Understand the terms and conditions for engaging OptimaGeeks for engineering and design services.
1. Acceptance of Terms
By accessing our website, subscribing to our newsletters, or engaging OptimaGeeks for professional engineering services—including code audits, dedicated developer squads, cloud consultations, or talent augmentation—you explicitly agree to be bound by these Terms of Service, along with our Privacy Policy. These terms constitute a legally binding agreement between you (individually or on behalf of your entity) and OptimaGeeks. If you do not agree to all provisions of these terms, you are prohibited from using our site and services and must immediately cease access.
2. Scope of Services & Engagements
All custom engineering, architectural designs, and consulting services are delivered strictly under separately executed Master Services Agreements (MSAs), Statements of Work (SOWs), or Service Level Agreements (SLAs). In the event of a conflict between these general website Terms of Service and a signed client contract, the signed client contract shall prevail. Under fixed-price contracts, deliverables are bounded by the initial agreed-upon SOW scope. Any modifications, feature requests, or extensions after execution must undergo our formal Change Request process and may be subject to additional fees or adjusted milestone delivery timelines.
3. Intellectual Property
Subject to the full and final clearance of all milestone payments defined in your active Statement of Work, all custom-built source code, database structures, UI/UX design files, software architectures, and project documentation created specifically for your product will be transferred to you as your sole intellectual property. OptimaGeeks retains ownership of any pre-existing codebases, developer utilities, generic frameworks, boilerplates, and design templates used to deliver the services. We grant you a perpetual, royalty-free, irrevocable license to use, modify, and distribute these pre-existing elements solely as integrated components of your custom deliverable.
4. Warranty & Support
We are committed to building in public and delivering high-performance, production-ready systems. All standard custom software engineering engagements include a complimentary 30-day post-launch warranty starting from the official deployment date. This warranty exclusively covers critical bug fixes, server configuration issues, and code anomalies directly deviating from the SOW requirements. It does not cover modifications requested post-launch, third-party API deprecations, or issues arising from unauthorized modifications made by client-internal teams. Extended maintenance contracts and SLA-backed support plans are available separately.
